LLP to Private Limited Conversion

When an LLP needs equity investors, ESOPs or a company structure, it can convert into a private limited company. FinAura checks eligibility and the tax conditions, prepares partner consents and the documents, files the conversion with the Registrar, and completes the steps after the company is registered: PAN, GST, bank accounts, licences and the first board meeting.

A common question

Is conversion from LLP to company taxable?

It can be tax-neutral if the conditions in income-tax law are met: broadly, all partners become shareholders in the same proportion and assets and liabilities pass to the company. If not, the transfer can be taxed.

We check the conditions before you file, so the structure change does not bring an unexpected tax bill.

Can an LLP be converted into a private limited company?

Yes, under the Companies Act's provisions for registering an LLP as a company, with partners' consent and the Registrar's approval.

What happens to the LLP's PAN and GST?

The company gets its own registrations; existing registrations are transferred or cancelled and new ones obtained, which we coordinate.

It can be, if income-tax conditions are met. We check them before filing.

Have you done this before?
