Event-Based ROC Filings

Beyond the annual returns, companies file with the Registrar whenever something changes: a director joins or leaves, the registered office moves, authorised capital rises, shares are allotted, or the memorandum or articles are amended. FinAura prepares the resolutions, files the forms within the time the Act allows and updates your registers.

A common question

Why do event-based filings get missed?

Because the decision happens in a meeting or an email, and nobody connects it to a filing deadline. A director resigns, an office moves or shares are issued, and the Registrar's record is left behind.

We see many of these first in the books, so we flag them as they happen and file within the time allowed.

Questions we get asked

Event-Based ROC Filings: Questions, Answered

What are event-based filings?

Forms filed with the Registrar when specific events happen, such as director changes, office shifts, capital changes or allotments, as opposed to annual filings.

How quickly must a director change be filed?

Within the period the Act sets after the appointment or resignation; we file as soon as the paperwork is complete.

Can the registered office move to another state?

Yes, with shareholder approval and the Regional Director's confirmation; it takes longer than a move within the state.

What if a past event was never filed?

It can usually be filed late with additional fees. We bring the record up to date.
